Jan Hofmann is an attorney specializing in corporate and commercial law. He advises companies on all corporate matters throughout their entire life cycle – from formation and early-stage structuring to complex reorganizations, founder exits and liquidations.
A key focus of his practice lies in corporate law and M&A transactions. Mr. Hofmann assists domestic and international clients in drafting and negotiating share purchase agreements, shareholders’ agreements and joint ventures. He also regularly advises start-ups and investors in venture capital transactions, particularly in seed and series financing rounds, including the preparation of investment agreements and convertible loan arrangements.
In addition, Mr. Hofmann has significant experience in corporate litigation and dispute resolution. He represents companies and shareholders in corporate disputes, especially in the context of shareholder conflicts, directors’ and officers’ liability and post-M&A disputes.
His clients include start-ups, dynamic mid-sized companies and international investors, many of whom operate in technology-driven industries.
Before joining Clayston, Mr. Hofmann worked in Hamburg for a mid-sized business law firm in the area of Corporate / M&A and for a specialized boutique law firm focusing on venture capital and M&A.
